1. Acceptance of Terms

By accessing our website, purchasing any digital marketing package, signing a Scope of Work (SOW), or engaging Digital Solutions King for services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must immediately discontinue use of our website and services.

2. Scope of Agency Services

Digital Solutions King is a full-service agency delivering digital growth solutions, including but not limited to:

• Search Engine Optimization (SEO, GEO & AEO)
• Performance Marketing (Google, Meta & LinkedIn Ads)
• Web Design & Next.js 15 Software Engineering
• Social Media Optimization (SMO & Reels Strategy)
• Graphic Design & Brand Identity Systems
• E-commerce Catalog & Conversion Rate Optimization (CRO)

3 & 4. Service Proposals & Project Statements of Work (SOW)

Specific deliverables, timelines, monthly retainers, and fee structures for individual client accounts are governed by signed Statements of Work (SOW) or custom proposal agreements. In the event of any conflict between these general Terms & Conditions and a signed SOW, the specific terms in the signed SOW shall take precedence.

5. Intellectual Property & Source Code Ownership

Agency Pre-Existing IP: All proprietary software frameworks, Next.js components, internal marketing templates, and audit methodologies developed by Digital Solutions King prior to or independent of a client project remain the exclusive intellectual property of Digital Solutions King.

Client Deliverables Ownership: Upon receipt of 100% full payment for completed web design, graphic design, or content projects, Digital Solutions King assigns full commercial ownership of final custom graphic assets, website source code repositories, and brand logos to the client.

6 & 7. Billing, Invoicing & Payment Terms

Monthly Retainers (SEO, SMO, PPC Management): Invoiced in advance on a monthly recurring basis. Services commence upon receipt of invoice payment.

Custom Web & Graphic Design Projects: Billed according to milestone structures outlined in your proposal (e.g., 50% deposit upon kickoff, 50% prior to final domain launch and code handover).

⚠️ Late Payments: Invoices unpaid 7 business days past the due date may result in temporary suspension of active campaigns, ad account management, or development work until balances are settled.

8 & 9. Search Engine & Third-Party Platform Disclaimers

Digital Solutions King executes ethical, 100% White-Hat Search Engine Optimization and paid media strategies compliant with Google Webmaster and Search Essentials guidelines.

Algorithm Disclaimer: Search engines (Google, Bing, ChatGPT, Gemini) and social media platforms (Meta, LinkedIn, TikTok) frequently update their proprietary ranking algorithms and ad policies. While we engineer campaigns using empirical best practices to maximize visibility and ROAS, no agency can ethically guarantee permanent #1 organic positions or fixed ad costs, as third-party platform algorithms remain outside direct agency control.

10 & 11. Confidentiality & Non-Disclosure

Both parties agree to hold all non-public business strategies, customer databases, technical credentials, and financial metrics in strict confidence during and after the contract term.

12 - 15. Limitation of Liability & Warranties

To the maximum extent permitted by applicable law, Digital Solutions King shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of service use, third-party server downtime, or platform policy changes. Our total aggregate liability under any agreement shall not exceed the total fees paid by the client to Digital Solutions King during the 3 months preceding the claim.

16 & 17. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India, unless resolved through mutual arbitration.
